This is the Agere Modem Message tool. It enables the agere modem to display information on the screen (for v.92 modems) regarding caller ID. It also allows v.90 Modems to display that an incoming call is arriving (while you are online, via call waiting)

You will notice, also.. on machines with the agere chipset within the modem, additional software is installed (down the bottom right) in windows machines.

My advise? Leave it.. its legit...

2004-01 added on 31.01.2004:
regmon from sysinternals shows that a lot of reading to the registry takes place with this process. This might be due to the modem being a winmodem. This again might be a good enougth reason to deactivate the modem and not start the process on boot, especially if you do not use the modem anyway.
